Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Sokili (operated by Ted Too, Sole Proprietorship) ("Sokili", "we", "us", or "our") governing your access to and use of the Sokili AI-powered WhatsApp business management service ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Sokili provides an AI-powered agent that integrates with WhatsApp to automate and manage business operations for small vendors and informal savings groups (chamas). The Service includes:

  • Automated responses to customer messages via WhatsApp using artificial intelligence
  • Transaction tracking and inventory management
  • Payment reminders and reconciliation reports
  • Integration with WhatsApp Business API
  • Dashboard for business configuration and monitoring

The Service operates in two modes: Store Mode (for vendors managing customer sales) and Chama Mode (for managing group contributions and savings).

3. Eligibility and Account Registration

3.1 Eligibility

You must be capable of forming a binding contract under applicable law to use the Service. By using Sokili, you represent that you meet this requirement.

3.2 Account Registration

To use the Service, you must register an account by providing accurate and complete information, including your phone number, name, and business details. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Account Verification

Account setup requires linking your WhatsApp Business account using the official WhatsApp Business API. You must have the authority to link the phone number or group chat you register with Sokili.

4. Subscription Plans and Pricing

4.1 Service Tiers

Sokili may offer different service tiers, which may include free and paid subscription plans. Pricing, features, and limitations for each tier will be clearly displayed on our website and dashboard.

4.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis, as selected during registration
  • Payment is processed via M-Pesa or other supported payment methods
  • All fees are non-refundable except as described in Section 4.3
  • We reserve the right to change pricing with 30 days' notice to active subscribers

4.3 Refund Policy

Refunds are only provided if the Service has not been used during the billing period. To request a refund, contact us at [email protected] within 7 days of payment.

4.4 Failed Payments

If a payment fails or your subscription expires, we will notify you via WhatsApp or email. You will have 7 days to retry payment. If payment is not received within this period, your access to the Service will be suspended until payment is successful.

4.5 Free Trial

We may offer a free trial period for new users. At the end of the trial period, you will be automatically charged for the selected subscription plan unless you cancel before the trial ends.

5. User Responsibilities and Conduct

5.1 Permitted Use

You agree to use the Service only for lawful business purposes consistent with these Terms and all applicable laws and regulations.

5.2 Prohibited Activities

You must NOT use the Service to:

  • Engage in any illegal activities, including but not limited to fraud, money laundering, or sale of prohibited goods
  • Send spam, unsolicited messages, or engage in harassment
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to violate WhatsApp's Terms of Service
  • Scrape, harvest, or collect user data without explicit consent

5.3 Content Responsibility

You are solely responsible for all messages, information, and content transmitted through your account. You represent that you have all necessary rights and permissions to use the Service to communicate with your customers or group members.

5.4 Customer Consent

While we do not require you to obtain explicit consent from your customers for AI-automated responses, we strongly recommend that you inform your customers about your use of automated tools. You are responsible for complying with all applicable laws regarding customer communications.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, algorithms, text, graphics, logos, images, and other content, is owned by Sokili and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business use.

6.2 Your Data

You retain all rights to your business data, messages, and content. By using the Service, you grant Sokili a limited license to process your data solely to provide the Service as described in these Terms and our Privacy Policy.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Sokili the right to use such feedback without any obligation to compensate you.

7. Third-Party Services

7.1 WhatsApp Business API

The Service integrates with WhatsApp Business API (operated by Meta Platforms, Inc.). Your use of WhatsApp through Sokili is subject to:

  • WhatsApp's Terms of Service
  • WhatsApp's Privacy Policy
  • Meta's Business Terms

We are not responsible for any changes to WhatsApp's policies, features, or availability that may affect the Service.

7.2 AI Service Providers

The Service uses artificial intelligence models provided by OpenAI, Anthropic (Claude), and Google (Gemini). These providers process your messages to generate intelligent responses. We have data processing agreements in place with these providers to protect your data.

7.3 Payment Processing

We track M-Pesa transaction references based on messages you and your customers send. We do not store payment credentials or directly integrate with M-Pesa APIs. You are responsible for verifying payment information.

8. Service Availability and Modifications

8.1 Service Availability

The Service is provided on an "as-is" and "as-available" basis. While we strive to maintain high availability, we do not guarantee that the Service will be:

  • Uninterrupted or error-free
  • Free of viruses or harmful components
  • Available at all times or in all locations

8.2 Maintenance and Updates

We may perform scheduled or emergency maintenance that temporarily restricts access to the Service. We will provide advance notice when possible.

8.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOKILI PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of AI-generated responses
  • Uninterrupted or error-free operation
  • Accuracy of transaction tracking, inventory management, or payment reconciliation

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOKILI SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your transmissions or data
  • Errors or inaccuracies in AI-generated messages or business reports
  • Missed payments, incorrect stock tracking, or reconciliation errors
  • Actions or inactions of third-party services (WhatsApp, AI providers, etc.)

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL INFORMATION, TRANSACTIONS, AND BUSINESS DATA. SOKILI IS A TOOL TO ASSIST YOUR BUSINESS OPERATIONS, NOT A REPLACEMENT FOR YOUR OWN OVERSIGHT.

9.3 Assumption of Risk

You acknowledge that the use of AI to communicate with customers carries inherent risks, including the possibility of incorrect, inappropriate, or unintended responses. You agree to monitor AI interactions and assume full responsibility for all communications sent through the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sokili, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content or communications transmitted through your account
  • Any disputes with your customers or group members

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting your account through the dashboard or contacting us at [email protected]. Upon termination, your data will be permanently deleted within 30 days as described in our Privacy Policy. No refunds will be provided for the current billing period.

11.2 Termination by Sokili

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Illegal or harmful activities
  • Extended periods of inactivity
  • Protecting the integrity and security of the Service or other users

11.3 Effect of Termination

Upon termination of your account, all licenses and rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including liability disclaimers, indemnification obligations, and dispute resolution) will continue to apply.

12. Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your data.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

13.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations.

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to mediation or arbitration in accordance with Kenyan law.

13.3 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of Kenya, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sokili regarding the Service and supersede all prior agreements and understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes via WhatsApp, email, or a notice on our website. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

14.6 Force Majeure

Sokili shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet outages, or third-party service disruptions.

14.7 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
